Chindata Group Enters into Definitive Agreement for "Going Private" Transaction

BEIJING, Aug. 11, 2023 /PRNewswire/ -- Chindata Group Holdings Limited ("Chindata Group" or the "Company") (Nasdaq:CD), a leading carrier-neutral hyperscale data center solution provider in Asia-Pacific emerging markets, today announced that it has entered into an Agreement and Plan of Merger (the "Merger Agreement") with BCPE Chivalry Bidco Limited ("Parent") and BCPE Chivalry Merger Sub Limited, a wholly owned subsidiary of Parent ("Merger Sub"). Pursuant to the Merger Agreement, Merger Sub will merge with and into the Company, with the Company continuing as the surviving company and becoming a wholly owned subsidiary of Parent (the "Merger"), in a transaction implying an equity value of the Company of approximately US$3.16 billion. As a result of the Merger, the Company will become a wholly owned subsidiary of Parent.
