NTN Buzztime, Inc. was incorporated in Delaware in 1984 as Alroy Industries and changed its corporate name to NTN Communications, Inc. in 1985. The Company changed its name to NTN Buzztime, Inc. in 2005. Its primary source of revenue is Buzztime iTV Network, which focuses on the distribution of its interactive promotional television game network programming, mainly to over 4,000 hospitality venues such as restaurants and bars throughout North America. Additionally, the Company distributes its game content and technology through other third-party consumer platforms, including online, retail games and books. It historically operates mainly through two operating divisions: Entertainment and Hospitality. The Entertainment division generates revenue mainly from the Buzztime iTV Network. Additionally, revenue is generated from the sale of advertising for distribution via the Buzztime iTV Network. Its business strategy is to increase the distribution of Buzztime branded interactive entertainment in major selected markets. Buzztime games are available via satellite through Echostar DISH and Bell Canada ExpressVu on a premium subscription basis. The iTV Network distributes a variety of engaging interactive multi-player games, including trivia quiz shows, play-along sports programming and casino-style and casual games to its Network subscribers. Patrons use its wireless game controllers, or Playmakers, to play along with the Buzztime games which are displayed on television screens. In late 2009, it introduced a downloadable application available on the iPhone that would enable patrons to use its iPhone in-venue instead of the Playmaker to play these Buzztime games. It primary product is the distribution of a variety of multi-player interactive games that entertain and challenge a player's skill and knowledge. It faces direct competition in hospitality venues and face competition for total entertainment dollars in the marketplace. The Company considers the Buzztime and Play along TV trademarks and its many related trademarks to be valuable assets and have registered these trademarks in the United States. The Company also competes with providers of other content and services available to consumers through online services. It is subject to federal and state government laws.
