Foundation Healthcare Inc, formerly known as Graymark Healthcare Inc, was incorporated on August 18, 2008. The Company is organized under the laws of the state of Oklahoma and is a healthcare services company, focused on owning controlling interests in surgical hospitals and the inclusion of ancillary service lines. It currently owns controlling and non-controlling interests in surgical hospitals located in Texas. It also owns non-controlling interests in ambulatory surgery centers, or ASCs, located in Texas, with the hospitals. The Company focuses on investing in and managing cost effective surgical hospitals that meets the needs of patients, physicians and payors. It also focus on the inclusion of ancillary service lines to surgical hospitals including hyperbarics, sleep labs, intraoperative monitoring, imaging and robotic surgery. The Company has sold or closed all of its freestanding sleep diagnostic and therapy facilities that were located in Oklahoma, Texas, Nevada, Kansas, Missouri and Iowa. The Company competes with other providers for patients, physicians and for contracts with insurers or managed care payors. It is subject to a number of federal and state laws and regulations governing financial and other arrangements among healthcare providers.
