Ltd. ("CanniOasis"), a Singapore-based biopharmaceutical company focused on utilizing cannabinoid medicine to develop effective personalized and targeted treatment regimens for neurological diseases, and all of the holders (the "CanniOasis Shareholders") of ordinary shares of CanniOasis (the "CanniOasis Shares"), pursuant to which the Company has agreed to acquire all of the issued and outstanding CanniOasis Shares in exchange for the issuance of common shares of Compass to the shareholders of CanniOasis (the "Transaction").
