Has approved a proposed private placement offering of up to 14,285,714 units at a price of $0.07 per Unit for gross proceeds of up to $1,000,000. Each Unit will consist of one common share and one common share purchase warrant. Each Warrant will entitle the holder thereof to purchase one additional common share of the Company for a period of two years from the date of the close at an exercise price of $0.18. Rugby Resources Ltd. shares V.RUG are trading unchanged at $0.08.
