Zevotek Inc. was incorporated in the State of Delaware on December 19, 2005 and amended its Certificate of Incorporation on March 1, 2006. In May 2007, it entered into a license agreement to sell an air purifier that is contained in an energy saving compact fluorescent light bulb named the Ionic Bulb, which agreement was replaced by an Exclusive License and Sales Agreement dated February 24, 2009 under which it currently retains the exclusive worldwide rights to manufacture, market, use, sell, distribute and advertise the Ionic Bulb. It markets the Ionic Bulb through TV infomercials, its website. The Company plans to sell through catalogs and major U.S. retail and specialty stores. It is seeking new products to sell. It plans to market the Ionic Bulb through catalogs, magazines and major U.S. retail and specialty stores and distributors with sales territories outside the United States. It developed and produced one and two minute direct response television campaigns (infomercials) that are aired on major national and local broadcast television channels, superstations and cable networks. These campaigns are conducted locally, nationally, or both, depending on the specific product and anticipated demand. The formulation, manufacturing, packaging, labeling, advertising, distribution, and sale of CFL bulbs, such as those it plans to sell, are subject to regulation by one or more federal agencies, principally the Federal Trade Commission, or FTC, and to a lesser extent the Consumer Product Safety Commission.
