Lions Gate Entertainment Corporation is a Corporation organized under the laws of the Province of British Columbia, resulting from the merger of Lions Gate Entertainment Corp., and Beringer Gold Corp. on November 13, 1997. The Company is a global entertainment company with a strong presence in motion picture production and distribution, television programming and syndication, home entertainment, family entertainment, digital distribution, new channel platforms and international distribution and sales. Its television business consists of the development, production, syndication and distribution of television productions. It currently produces and syndicates 19 television shows, which air on 14 networks and distribute over 200 series worldwide. In fiscal 2013, it expects to grow its television business through continued production and distribution of original content. The Company distributes its library of approximately 13,000 motion picture titles and television episodes and programs directly to retailers, rental kiosks, through various digital media platforms, and pay and free television channels in the United States, the United Kingdom and Ireland, and indirectly to other international markets through its subsidiaries and various third parties. It also distribute product through the following joint ventures. The Company faces competition from companies within the entertainment business and from alternative forms of leisure entertainment, such as travel, sporting events, outdoor recreation, video games, the internet and other cultural and computer-related activities. It competes with the major studios, numerous independent motion picture and television production companies, television networks, pay television systems and digital media platforms for the acquisition of literary and film properties, the services of performing artists, directors, producers and other creative and technical personnel and production financing, all of which are essential to the success of its entertainment businesses.
