Halcon Resources Corp was incorporated in Delaware on February 5, 2004. The Company is an independent energy company, which is engaged in the acquisition, production, exploration and development of onshore liquids-rich oil and natural gas properties in the United States. The Company operates in one segment which focuses on oil and natural gas acquisition, production, exploration and development. The Company's oil and natural gas properties are managed as a whole rather than through discrete operating areas. The Company's proved reserves, production and acreage are located in concentrated positions within multiple onshore U.S. basins. The Company's geographic diversity provides flexibility to direct capital resources to project with the greatest potential returns and access to multiple key end markets, which mitigates its exposure to temporary price dislocations in any one market. The Company competes with a substantial number of other companies that have greater financial and other resources. Many of these companies explore for, produce and market oil and natural gas, as well as carry on refining operations and market the resultant products globally. The primary areas in which it encounters substantial competition are in locating and acquiring desirable leasehold acreage for its drilling and development operations, locating and acquiring attractive producing oil and natural gas properties, obtaining sufficient availability of drilling and completion equipment and services, obtaining purchasers and transporters of the oil and natural gas it produce and hiring and retaining key employees. There is also competition between oil and natural gas producers and other industries producing energy and fuel. Furthermore, competitive conditions may be substantially affected by forms of energy legislation and regulation considered from time to time by the government of the United States and the states in which its properties are located. The purchasers of oil and natural gas production consist primarily of independent marketers, oil and natural gas companies and gas pipeline companies. The Company's operations are subject to stringent federal, state and local laws regulating the discharge of materials into the environment or otherwise relating to health and safety or the protection of the environment. Numerous governmental agencies, such as the United States Environmental Protection Agency, commonly referred to as the EPA, issue regulations to implement and enforce these laws, which often require difficult and costly compliance measures.
