Horiyoshi Worldwide, Inc. was incorporated as Kranti Resources, Inc., in the State of Nevada on November 3, 2006 to engage in the acquisition, exploration, and development of mineral deposits and reserves. The company discontinued its planned mining activities and eventually adopted a new strategy to pursue opportunities in the fashion apparel industry. Subsequently, the Company adopted the business of fashion apparel design and distribution. Its principal activities are the design and production of the 'Horiyoshi', 'The Thiiird', and 'Heroes & Demons' collections and the operation of its branded retail store in London, England. All three collections are clothing and accessories lines based on, or inspired by, the artistry of world renowned Japanese Tattoo Master, Horiyoshi III. The business and product lines were established to capitalize on the multi-generational legacy of Horiyoshi III by offering consumers a unique collection of knit-wear, t-shirts, denims, sweats and other personal accessories. Its products are sold both in the United States and in premium stores, including Harvey Nichols, Barney's and Saks Fifth Avenue, and in a number of boutique and speciality stores. It also sells its products through its branded retail store in London, England and through its 'Horiyoshi', 'The Thiiird' and 'Heroes & Demons' branded websites. The Company's product line for the 'Horiyoshi' collection currently consists of two general categories of goods: casual wear for women and unisex accessories. Its women's wear collection is highlighted by short knit dresses, tank tops, and leggings. Its accessories line features scarves and jewelry, including rings, earrings, bracelets and pendants. Its product line for 'The Thiiird' collection currently consists of men's denim, t-shirts, hoodies, sweats and jackets. Its product line for the 'Heroes & Demons' collection currently consists of t-shirts and hoodies for men. The Company markets its products through referrals, product presentations, and special events or openings held in cooperation with its retailers. Competition in the fashion apparel sector is based on relative brand perception and recognition, design and quality of goods, efficiency of production, breadth and quality of distribution channels, and the ability to shape and stimulate consumer tastes and demands by producing innovative, attractive, and exciting products. The Company's products are subject to consumer protection legislation in Japan, United States, and in each other country where its products are sold, in addition to various federal, state, provincial, and regional regulatory regimes.
