AdCare Health Systems, Inc. was organized in 1989 in Ohio. The Company is a developer, owner and manager of retirement communities, assisted living facilities, skilled nursing facilities and home health care services in the state of Ohio. It currently manages sixteen facilities, comprised of six skilled nursing centers, seven assisted living residences and three independent living/senior housing facilities, totaling over 850 units. The Company has an ownership interest in eight of the facilities it manages, comprised of 100% ownership of two of the skilled nursing centers and three assisted living facilities, as well as a 50% ownership of three of the assisted living facilities. The Company's business operates in two segments: management and facility-based care; and home-based care. Within its management facility-based care segment, the Company provides development, consulting and accounting services to third parties. In these instances, it receives a fee for providing those services. Its home-based care segment provides home health care services to patients while they are living in their own homes. The Company uses its own employees and independent contractors to provide the in-home health care and home care services at a fixed rate. The Company competes with national companies such as HCR Manor Care, Alterra and Extended Care with respect to both its nursing home and assisted living facilities. It also competes with locally owned entities as well as ealth Care Facilities-HCF on a regional basis. The operations of the Company are subject to the administrative directives, rules and regulations of federal and state regulatory agencies, including, but not limited to, CMS, the ODJFS and the Ohio Department of Health and Aging.
