("Gatekeeper" or the "Company") (TSXV:GSI.VN) (OTC:GKPRF), a video and data solutions provider for public transportation and smart cities, announces that it has entered into an agreement with Canaccord Genuity Corp. (the "Lead Underwriter") as lead underwriter and sole bookrunner, and a syndicate of underwriters to be formed (together, the "Underwriters") pursuant to which the Company has launched a "bought deal" private placement of 8,335,000 common shares of the Company (the "Offered Shares") at a price of $1.20 per Offered Share (the "Offering Price") for aggregate gross proceeds of $10,002,000 (the "Offering").
