Strategic deal targets $1B+ valuation and accelerates EdgeMode's position in AI-driven high-performance computing
A next-generation AI data infrastructure company, EdgeMode Inc. (OTC: EDGM), announced today it has signed a Memorandum of Understanding (MOU) to merge with BlackBerry AIF (BAIF) in a transformative deal that will expand EdgeMode's high-performance computing (HPC) and AI data center footprint in Europe's markets.
Under the terms of the proposed agreement, EdgeMode will acquire 100% of BAIF's issued share capital in exchange for equity and capital support. Upon closing, BAIF stakeholders will own 50% of the combined company. The merger is expected to add more than $140 million in assets to EdgeMode's balance sheet and propel the company's valuation toward the $1 billion mark.
The combined entity will control a 4.4 gigawatt (GW) pipeline of hyperscale-ready data center capacity across Spain and other parts of Europe, including 1 GW ready-to-build (RTB) by Q4 2025 and another 1.2 GW RTB by Q4 2027. The venture is anchored by 23 data center development sites, with over 2.2 GW already secured via land leases, zoning approvals, and dark fiber access.

EdgeMode plans to initially focus its rollout on its Marviken, Sweden site, where it has secured a 95MW power purchase agreement and has broken ground on its first 20MW facility. The company designs high-density, 100% renewable-powered infrastructure tailored for AI workloads, cloud computing, and HPC applications.
The global HPC market is expected to nearly double from $54 billion in 2024 to $110 billion by 2032, according to Fortune Business Insights, driven by surging AI adoption. EdgeModes business model includes both developing and selling hyperscale sites to data center operators and hyperscalers, as well as pursuing its colocation hosting strategy.

The two parties have entered a 45-day due diligence period to finalize the definitive merger agreement.
