Scores Holding Company, Inc., was incorporated in Utah on September 21, 1981 under the name Adonis Energy, Inc. The Company along with its subsidiaries is engaged in the business of licensing the Scores trademarks and other intellectual property to gentlemen's nightclubs with adult entertainment in the United States. These clubs feature topless female entertainers together with opportunities for watching sporting events and corporate and private parties. There are six such clubs currently operating under the Scores name, in New York City, Baltimore, Chicago, Tampa, Atlantic City and New Orleans. The adult nightclub entertainment business is competitive with respect to price, service, location and professionalism of its entertainment. The Company's main competitors are Ricks Cabaret, Hustler and Penthouse. Its licensees are subject to a variety of governmental regulations depending upon the laws of the jurisdictions in which they operate. The significant governmental regulations are, Liquor Licenses, Cabaret" Licenses, and Zoning Restrictions.
