Landmark Bancorp Inc a Delaware corporation was incorporated in 2001. It is a bank holding for Landmark National Bank. The Bank is into the business of attracting deposits from the general public and using such deposits, together with borrowings and other funds, to originate one-to-four family residential real estate, construction and land, commercial real estate, commercial, agriculture, municipal and consumer loans. It also invests in certain investment and mortgage-related securities using deposits and other borrowings as funding sources. The Banks primary deposit gathering and lending markets are geographically diversified with locations in eastern, central, and western Kansas. The Bank targets owner-operated businesses and utilizes Small Business Administration lending as a part of its product mix. The Banks lending activities include One-to-Four Family Residential Real Estate Lending, Construction and Land Lending, Commercial Real Estate Lending, Commercial Lending, Municipal Lending, Agriculture Lending and Consumer and Other Lending. The Bank originates one-to-four family residential real estate loans with both fixed and variable rates. Loans in the category of Construction and Land Lending include loans to facilitate the development of both residential and commercial real estate. Commercial real estate loans, including multi-family loans, represent the largest class of loans of the Bank. Commercial and multi-family real estate loans generally have amortization periods of 15 or 20 years. Loans in the category of Commercial Lending include loans to service, retail, wholesale and light manufacturing businesses. Loans to municipalities are generally related to equipment leasing or general fund loans. Terms are generally limited to 5 years. Agricultural real estate loans generally have amortization periods of 20 years or less, during which time the Bank generally retains a security interest in the borrowers real estate. The Bank also provides short-term credit for operating loans and intermediate-term loans for farm product, livestock and machinery purchases and other agricultural improvements. Loans classified as consumer and other loans include automobile, boat, home improvement and home equity loans. As a bank holding company, the Company is subject to regulation by the Board of Governors of the Federal Reserve System (the Federal Reserve).
