Gladstone Investment Corporation was incorporated under the General Corporation Laws of the State of Delaware on February 18, 2005. On June 22, 2005 it completed an initial public offering and commenced operations. The Company operates as a closed-end, non-diversified management investment company and has elected to be treated as a business development company under the Investment Company Act of 1940, as amended (the '1940 Act'). The Company invests mainly in subordinated loans, mezzanine debt, preferred stock, common stock and warrants to purchase common stock of small and medium-sized companies, generally located in the United States, in connection with buyouts and other recapitalizations. It also invests in senior secured loans, common stock and, to a much lesser extent, senior and subordinated syndicated loans. Its investment objective is to generate both current income and capital gains through these debt and equity instruments. Its competitors include private equity funds, leveraged buyout funds, venture capital funds, investment banks and other equity and non-equity based investment funds, and other financing sources, including traditional financial services companies such as commercial banks. The Company and its portfolio companies are subject to regulation by laws at the local, state and federal levels.
