Delta Oil & Gas, Inc. was incorporated under the laws of the State of Colorado on January 9, 2001 under the name Delta Oil & Gas, Inc. The Company is an independent natural gas and oil company engaged in the exploration, development and acquisition of natural gas and oil properties in the United States and Canada. The Company's current focus is on the exploration of its land portfolio comprised of working interests in acreage in King City, California; Southern Saskatchewan, Canada; South Central, Oklahoma; and Eastern, Texas. The availability of a ready market for oil and gas, and the prices of such oil and gas, depends upon a number of factors, which are beyond Company's control. These include, among other things: the level of domestic production; actions taken by foreign oil and gas producing nations; the availability of pipelines with adequate capacity; the availability and marketing of other competitive fuels; fluctuating and seasonal demand for oil, gas and refined products; and the extent of governmental regulation and taxation (under both present and future legislation) of the production, importation, refining, transportation, pricing, use and allocation of oil, gas, refined products and alternative fuels. The oil and natural gas industry is intensely competitive, and it competes with other companies that have greater resources. Many of these companies not only explore for and produce oil and natural gas, but also carry on midstream and refining operations and market petroleum and other products on a regional, national or worldwide basis.
