Delek Group Ltd was incorporated on December 12, 1951. The Company was incorporated as part of the Group's re-structuring in 1999, wherein the company's operations were divided between three principle subsidiaries, with the company as parent. The Company is a is holdings management company, with a variety of investments in Israel and abroad, with operations including, oil and gas, refining, gas stations, motorway service areas, finance and insurance, automotive, desalination, power generation, and biochemicals. Refining and Fuel Products in the US includes holdings in oil refineries and a crude oil pipeline, as well as the marketing of fuel products and operation of gas stations and convenience stores in the US. Fuel Products in Israel - This segment includes sales of fuels and lubricants, the operation of gas stations with on-site convenience stores, and the provision of fuel storage and distribution services in Israel. Fuel Products in Europe segment includes sales of fuels and lubricants and the operation of gas stations with on-site convenience stores in Benelux and France. Motorway Service Areas in the UK includes the provision of motorway services, including sales of retail products, restaurants and hotels, and fuel sales, in motorway service areas throughout the UK. Energy segment includes development, production and sale of natural gas and oil and natural gas and oil exploration activities. Insurance and Finance in Israel - This segment includes various insurance operations and long-term savings operations in the finance industry in Israel. Operations are carried out through The Phoenix Insurance and Excellence. Insurance in the US segment includes general insurance operations in the US, carried out through the Republic insurance company. Automotive segment includes a 32.13% interest in Delek Automotive, which imports markets and sells Mazda, Ford, and BMW vehicles, accessories and spare parts in Israel. The Company and several of its investee companies are subject to restrictions on their operations imposed by law or by order of various regulatory bodies, such as anti-trust provisions, provisions relating to the obligation to tender, provisions relating to insurance companies, provident funds and retirement funds, and provisions relating to the supervision of product and service prices.
