E Diets.com, Inc. was incorporated in the State of Delaware on March 18, 1996. It develops and markets Internet-based diet and fitness programs. The Company markets its products both to consumers and to businesses mainly in North America. It leverages the power of technology to bring weight loss solutions to both consumers and businesses. The Company has been offering digital subscription-based plans in the United States since 1998, when it launched its first diet plan. Its digital diet plans are personalized according to an individual's weight goals, food and cooking preferences and include the related shopping lists and recipes. It offers a variety of approximately twenty different diet plans, some of which it has developed and some of which it has licensed from third parties under exclusive arrangements. The Company also offers a subscription-based nationwide weight loss oriented meal delivery service. It offers message boards on various topics of interest to its subscribers, online meetings presented by licensed mental health counselors, registered dietitians and certified fitness trainers and the resources of approximately 30 customer service representatives, nutritionists and fitness personnel. Its eDiets Corporate Services subsidiary is actively engaged in providing private label online nutrition, fitness and wellness programs to companies mainly in the health insurance, pharmaceutical and food industries. The Company competes with privately-held Waterfront Media, Inc and with the WebMD Weight Loss Center operated by WebMD, Inc. In the meal delivery business it competes with NutriSystem, Inc. and Jenny Craig, Inc. as well as others. In the business-to-business licensing of digital diet, fitness and healthy lifestyle content, tools and services it competes with Miavita, which is owned by Matria Healthcare, Inc., and with several private companies.
