C&D Technologies, Inc. was organized in 1985. It was organized to acquire all the assets of C&D Power Systems Division of Allied Corporation, which, along with its predecessors, had been manufacturing batteries for more than 50 years. The Company manufactures markets and distributes electrical power storage systems for the standby power market. It manufactures markets and distributes lead acid batteries and standby power systems that integrate lead acid batteries with other electronic components, which are used to provide backup or standby power for electrical equipment in the event of power loss from the primary power source. Its product offering includes: flooded lead acid batteries ( 'flooded'); valve-regulated lead acid ( 'VRLA') batteries; and power rectifiers and other related power distribution and monitoring equipment. Standby power systems are used in UPS systems, wireless and wireline telecommunications, CATV systems, utilities and other applications. Flooded batteries, which require periodic watering and maintenance, are used in UPS, telecommunication and utility applications. VRLA, or sealed, batteries, which are often smaller and require less maintenance, have shorter useful lives and are used in wireless cell sites, CATV systems, corporate data centers and computer networks and other applications. Power rectifiers convert or 'rectify' external AC power into DC power at the required level and quality of voltage necessary to constantly charge the standby battery and operate the user's equipment. It manufactures and markets integrated reserve power systems and components for the standby power market, which includes telecommunications, UPS, military, cable, utilities, nuclear power plant, pipeline, oil and gas and other process industries. Integrated reserve power systems monitor and regulate electric power flow and provide backup power in the event of a primary power loss or interruption. It also produces the individual components of these systems, including reserve batteries, power rectifiers, system monitors, power boards and chargers. Its customers include industry-leading OEMs, broadband and telecommunications providers, large investor owned utilities as well as large end user customers across all industries including, banking, retail, healthcare and manufacturing. The Company manufacture its products at four domestic plants, one plant in China and one plant in Mexico. To meet the needs of the customers, the Company sells its batteries and other standby power systems components in a variety of sizes, configurations and electrical capacities. Its batteries and standby power systems are marketed and sold under the DYNASTY(r), MAXRATE(r), msENDUR(r), LIBERTY(r) and SAGEON(r) brands. The competitors of the Company are from start up companies to domestic and international corporations. It also competes with other energy storage technologies. In North America, it competes with Exide Technologies, Enersys, East Penn Manufacturing, NorthStar and FIAMM amongst others in the standby power market. The Company owns and licenses certain patents and trademarks. The main trademarks of the Company, which is regarded as being of substantial value in the marketing of its products, include: C&D(r), C&D TECHNOLOGIES(r), C&D TECHNOLOGIES POWER SOLUTIONS(r), DYNAST(r), LIBERTY(r), LIBERTY SERIES(r), MAXRATE(r), msENDUR(r) and SAGEON. The Company competes with Exide Technologies, Enersys, East Penn Manufacturing, NorthStar and FIAMM amongst others in the standby power market. The Company's operations are subject to environmental laws and regulations regarding the clean-up and protection of the environment, worker health and safety and the protection of third parties.
