(OTC-BB:FLHLF) (NEO:FH) (FSE:7QS) ("Filament" or the "Company"), a clinical‐stage natural psychedelic drug development company, and Jupiter Acquisition Corporation (NASDAQ:JAQC) ("Jupiter"), a special purpose acquisition company ("SPAC"), today announced that the U.S. Securities and Exchange Commission (the "SEC") has declared effective the registration statement on Form F-4 (as amended, the "Registration Statement") filed with the SEC by 1427702 B.C. Ltd. ("TopCo") related to the previously announced business combination among Filament, Jupiter and TopCo (the "Business Combination"). Jupiter has also filed with the SEC the definitive proxy statement for its special meeting of stockholders (the "Special Meeting") to, among other things, approve the Business Combination.
