Neocloud company Nebius (NBIS) recently annouced plans to raise $5 billion through the issuance of convertible senior notes in two series. Due in 2030, the first series will be for $3 billion, while the rest will be due in 2034 through a private offering. The company revealed that the proceeds will be used for operational purposes, such as the construction and expansion of data centers, developing its full-stack AI cloud services, and the procurement of components.
Nebius also anticipates providing the initial buyers of the notes with an option to acquire additional amounts for settlement within a 13-day window beginning on the initial issuance date. This option would cover up to an extra $450 million in aggregate original principal amount of the 2030 notes and up to an additional $300 million in aggregate original principal amount of the 2034 notes.

Valued at a market capitalization of $53.4 billion, NBIS stock has been on a roll this year. Shares of Nebius have rallied 161% on a year-to-date (YTD) basis and are up by 212% for the past 12 months.
The Market Did Not Like Nebius' Offering Plans
The market reacted negatively to news of Nebius' upsized private offering plans. NBIS stock fell 10% after the announcement on Aug. 19 and continued to decline in the following sessions. Investors remain concerned about rising debt on the balance sheets of companies involved in the AI buildout, and specifically for Nebius, the concerns do not seem misplaced.
Nebius reported second-quarter 2026 results on Aug. 12. During the period, interest expense grew an alarming 2,381% year-over-year (YOY) basis to $119.1 million. Additionally, both short-term and long-term debt rose by 91% and 107% to $46.7 million and $8.5 billion, respectively. This can be largely attributed to the spree of financing raised by Nebius through convertible senior notes over about a year.
Another aspect of the offering that spooked investors is the possible dilution of equity. Convertible notes are a form of debt financing wherein, in simple terms, convertible note holders are entitled to receive shares in a company if the debt is not serviced by the due date.
Having said that, it is not all doom and gloom for Nebius. In fact, Q2 2026 was marked by a double beat from the company on both the top and bottom line.
Revenue climbed 454% YOY to $582.3 million, coming in ahead of the consensus estimate. Conversely, the company reported a loss of $0.68 per share in Q2 2026 compared to diluted EPS of $2.05 in Q2 2025. However, the loss per share also came in ahead of the consensus estimate.
In addition to the rise in interest expenses highlighted earlier, total operating expenses climbed 251% YOY to $758.2 million, hurting the bottom line. Notably, within operating expenses, product development expenses increased considerably to $191 million from just $42.8 million in the prior-year period.
Net cash from operating activities was $2.25 billion for the quarter versus an outflow of $167.7 million in the prior-year period, marking an important improvement. Overall, Nebius closed the quarter with a cash balance of $8.04 billion, much higher than the $3.67 billion with which the company started the year.
What Do Analysts Think of NBIS Stock?
Overall, analysts have a consensus “Moderate Buy” rating for NBIS stock. The mean price target of $284.62 denotes potential upside of about 30% from current levels. Out of 17 analysts covering Nebius stock, 10 have a “Strong Buy” rating while seven have a “Hold” rating.
